USER CONTRIBUTIONS
By “User Contributions,” we mean software, emails, communications, images, photographs, graphics, video recordings, charts, sounds, text, characters, and all other materials and information in every media or format. You warrant that all User Contributions You post are Your property and does not infringe on the intellectual property or proprietary rights of any third party. Do not post materials You do not create Yourself or otherwise own or lawfully license from the owner for this purpose.
As further provided below, vulgar language, crude or explicit sexual references and hate speech of any kind are always inappropriate for posting on our Site. In addition to the right to delete any User Contributions we deem, in our sole discretion, to be inappropriate, false, misleading or otherwise not acceptable to Us, posting such User Contributions may subject You to immediate termination from access to our Site and/or Your Account without prior notice.

- Harassing remarks, flames, or insults
- Personally identifiable information

4. Public Nature of Communications; Content; Ownership of Your Content

B. OUR PROPRIETARY RIGHTS; COPYRIGHTS AND TRADEMARKS

WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY CONTENT (INLCUDING USER CONTRIBUTIONS) POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ACKNOWLEDGE AND AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY DISPUTE WITH US IS TO STOP USING THE SITE AND/OR CONTENT, AND TO LET ANY SUBSCRIPTION EXPIRE/NOT USE YOUR ACCOUNT. IN NO CASE WILL OUR LIABILITY TO YOU, AND/OR THE LIABILITY OF OUR AFFILIATES, MEMBERS, EMPLOYEES, AGENTS, MANAGERS, SHAREHOLDERS, OFFICERS, DIRECTORS, AGENTS, VENDORS AND CONTENT PROVIDERS, EXCEED THE AMOUNT THAT YOU PAID TO USE THE SITE. IN NO CASE WILL WE AND/OR OUR AFFILIATES, MEMBERS, EMPLOYEES, AGENTS, MANAGERS, HAREHOLDERS, OFFICERS, DIRECTORS, AGENTS, VENDORS AND CONTENT PROVIDER BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR CONTENT.
BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR AND OUR AFFILIATES’, MEMBERS’, EMPLOYEES’, AGENTS’, MANAGERS’, SHAREHOLDERS’, OFFICERS’, DIRECTORS’, AGENTS’, VENDORS’ AND CONTENT PROVIDERS’ LIABILITY WILL BE LIMITED TO THE FULL EXTENT PERMITTED BY LAW.
WE DO NOT ENDORSE, WARRANT OR GUARANTEE ANY THIRD PARTY PRODUCT OR SERVICE REFERENCED ON THE SITE OR CONTENT AND WILL NOT BE A PARTY TO, OR IN ANY WAY BE RESPONSIBLE FOR, MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS.
Notwithstanding the foregoing, some states do not permit certain warranty or liability exclusions, so some warranty and liability exclusions may not apply to You. The rights and obligations of this Section will survive termination of this Agreement.
5. INDEMNIFICATION; EQUITABLE RELIEF
You agree to defend, indemnify and hold harmless Us and Our affiliates, members, employees, agents, managers, shareholders, officers, directors, agents, vendors and Content providers (other than You) from all liabilities, claims and expenses whatsoever, including attorneys’ fees and costs, arising from Your breach or threatened breach of these Terms and Conditions, specifically including any action We take to enforce Our rights under this Agreement.
You further agree that Our intellectual property and proprietary rights are special and unique, and that a breach or threatened breach of Our intellectual property and proprietary rights may not be fully compensated in damages. Therefore, in addition to any other remedy available to Us at law or equity, We will be entitled to injunctive relief to prevent a threatened or continuing breach without further proof of irreparable harm or posting a bond.
Our rights under this Section will survive termination of this Agreement for any reason.
6. OTHER LEGAL TERMS
You agree that these Terms and Conditions are not intended to confer and do not confer any rights or remedies on any person other than the parties to this Agreement. You also understand and agree that these Terms and Conditions and the Privacy Policy, including enforcement of those policies, are not intended to confer, and do not confer, any rights or remedies upon any third person. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. No waiver of any of Our rights is enforceable unless in a writing signed by Us.
The laws of the State of Vermont, excluding its conflicts-of-law rules, govern this Agreement and Your Account in all respects, and You expressly agree that in the unlikely event of any dispute that cannot be resolved amicably, (I) exclusive jurisdiction for any claim or dispute with Us or relating in any way to Your Account and Your use of the Site and Content resides in the applicable federal and state courts of Vermont; and (ii) You further agree and expressly consent to the exercise of personal and subject matter jurisdiction in the courts of Vermont in connection with any such dispute including any claim involving Us and Our affiliates, members, employees, agents, managers, shareholders, officers, directors, agents, vendors and Content providers; and (iii) You agree You will not contest venue as appropriate in Vermont, provided only that we may choose to enforce any of Your payment or other obligations in any court with subject matter jurisdiction in Your home state or country. To the extent permitted by relevant law, You waive any right to trial by jury.
You agree that Our total liability to You (including the liability of Our affiliates, members, employees, agents, managers, shareholders, officers, directors, agents, vendors and Content providers other than You), whether arising under contract, warranty, or tort (including negligence) or any other theory of liability, and regardless of whether We or Our affiliates, members, employees, agents, managers, shareholders, officers, directors, agents, vendors and Content providers (other than You) knew or should have known of the possibility of such damages, is limited to refund of any amounts You paid Us.
As noted above, Your conduct may be subject to other local, state, national, and international laws.
Domestic Use and Export Restrictions
We control the Site from Our offices within the United States of America. We make no representation that the Site or its content (including, without limitation, any products or services available on or through the Site) are appropriate or available for use in other locations. Users who access the Site from outside the United States of America do so on their own initiative and must bear all responsibility for compliance with local laws, if applicable. Further, the United States export control laws prohibit the export of certain technical data and software to certain territories. No content from the Site may be downloaded in violation of United States law, and no User Contributions may be posted on the Site in violation of United States law.
7. NOTICE OF COPYRIGHT INFRINGEMENT
Upon Your notice of alleged copyright infringement, we will proceed as dictated by Title II of the Digital Millennium Copyright Act (17 U.S.C.A. § 512). To ensure that your notification complies with the requirement of the Digital Millennium Copyright Act, please see 17 U.S.C. § 512(c) (3)). If You believe Your copyright rights have been infringed, please put “copyright issue” in the subject line of your email and Contact Us today.
All Terms and Conditions that by their nature survive, whether or not specifically noted, survive expiration or termination of this Agreement for any reason.
